Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Menna AI ("we," "us," or "our") governing your access to and use of the ConvoCal mobile application and web services ("the App").

By creating an account, downloading, or using the App, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must immediately cease all access and uninstall the App.

1. Eligibility & Account Registration

1.1 Age Requirement

You must be at least 13 years of age (or 16 years of age in the European Economic Area and UK) to create an account or use ConvoCal. By accessing the App, you represent and warrant that you fulfill this age prerequisite.

1.2 Account Security

You are responsible for safeguarding your login credentials. You agree to maintain accurate account information and accept responsibility for all activities that occur under your account. Notify us immediately at support@menna.ai if you suspect unauthorized access.

2. Medical & Nutritional Disclaimer

CONVOCAL IS NOT A MEDICAL DEVICE AND DOES NOT PROVIDE MEDICAL ADVICE, CLINICAL DIAGNOSES, OR MEDICAL TREATMENT PLANS.

ConvoCal is an educational and lifestyle tool designed solely to assist you in tracking dietary intake and wellness habits. Nutritional breakdowns, calorie counts, and macro estimations provided by conversational AI, barcode lookup, or image recognition are computational approximations and may differ from laboratory measurements or actual portion values.

DO NOT USE CONVOCAL AS A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR CLINICAL DIETARY THERAPY. Always consult a licensed physician, registered dietitian, or qualified healthcare professional before beginning any diet, weight-loss regimen, or nutritional program, particularly if you have diabetes, kidney disease, eating disorders, cardiovascular conditions, food allergies, or if you are pregnant or nursing.

3. Subscriptions, Billing & Cancellation

3.1 Subscription Plans

ConvoCal may provide free tier features alongside premium auto-renewing subscription plans (e.g., Monthly, Quarterly, Annual). Pricing is clearly disclosed in the App prior to subscription confirmation.

3.2 Auto-Renewal & Payment Processing

Payment is charged directly to your Apple ID account (for iOS users) or Google Play account (for Android users) upon purchase confirmation. Subscriptions automatically renew for the same duration and price unless auto-renewal is canceled at least 24 hours prior to the conclusion of the current subscription cycle.

3.3 Managing & Canceling Subscriptions

You can manage, modify, or cancel your subscription at any time via your device platform settings:

On iOS: Open Settings → tap your Apple ID → Subscriptions → select ConvoCal → Cancel Subscription.

On Android: Open Google Play Store → tap your Profile icon → Payments & Subscriptions → Subscriptions → select ConvoCal → Cancel Subscription.

3.4 Free Trials & Promotions

Any unused portion of a complimentary trial period, if offered, is forfeited when you purchase a subscription where permissible by platform guidelines.

3.5 Refund Policy

All in-app purchases and subscription billings are processed directly by Apple Inc. or Google LLC. Menna AI cannot issue direct refunds. All refund claims and billing queries are governed exclusively by Apple App Store and Google Play refund policies.

4. User Content & License Grant

4.1 Ownership of User Content

You retain full ownership of all data, voice notes, photos, text descriptions, and journal logs you submit to ConvoCal ('User Content').

4.2 Limited License to Provide Service

You grant Menna AI a worldwide, non-exclusive, royalty-free, limited license to host, parse, analyze, and process your User Content strictly for the purpose of operating, improving, and delivering the App features to you (such as processing meal photos into calorie counts). We do not publish or publicly broadcast your personal meal photos or dietary data.

5. Acceptable Use Policy

You agree that you will not:

Use the App for any illegal, fraudulent, or unauthorized purpose

Decompile, reverse engineer, disassemble, or attempt to derive source code from the App

Probe, scan, or breach system security, firewalls, or authentication barriers

Use automated bots, scrapers, or scripts to access or extract data from the service

Upload viruses, malicious payloads, or infringing materials

Resell, lease, sublicense, or commercially exploit access to ConvoCal

Interfere with or overburden server infrastructure

6. Intellectual Property Rights

The ConvoCal application, branding, logos, visual layouts, design assets, algorithms, software code, and documentation are the exclusive property of Menna AI and are protected by copyright, trademark, and trade secret laws. All rights not expressly granted to you are reserved.

7. Service Modifications & Termination

7.1 Modifications

We reserve the right to update, modify, or discontinue features of the App at any time with or without notice.

7.2 Termination by You

You may terminate your account at any time by navigating to Settings → Delete Account within the App.

7.3 Termination by Us

We may suspend or terminate your account immediately if you breach these Terms, engage in fraud, or misuse the App.

8. Disclaimer of Warranties

THE APP AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. MENNA AI SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE NUTRITIONAL ESTIMATES, AI ACCURACY, OR SERVICE WILL BE CONTINUOUS, TIMELY, SECURE, OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MENNA AI, ITS DIRECTORS, EMPLOYEES, AFFILIATES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR PERSONAL INJURY RESULTING FROM YOUR USE OF OR INABILITY TO USE THE APP. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO MENNA AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY US DOLLARS ($50 USD), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Menna AI, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and reasonable legal expenses arising from your violation of these Terms, your misuse of the App, or your infringement of third-party rights.

11. Dispute Resolution & Governing Law

These Terms shall be governed by and interpreted under the laws of the jurisdiction where Menna AI operates, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved through good-faith negotiation, and if unresolved, through binding individual arbitration. You waive any right to participate in a class-action lawsuit.

12. Severability & Entire Agreement

If any provision of these Terms is deemed unlawful or unenforceable, that provision shall be severed without affecting the validity and enforceability of remaining provisions. These Terms and our Privacy Policy constitute the entire agreement between you and Menna AI.
