End User License Agreement (EULA)

This End User License Agreement ("EULA") is a legal agreement between you ("Licensee" or "User") and Menna AI ("Licensor") regarding the ConvoCal mobile application and associated software ("the App").

By installing, downloading, or using the App, you agree to be bound by the terms of this EULA. If you do not agree to this EULA, do not install or use the App.

1. Grant of License

Menna AI grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and execute the App on mobile devices that you own or control, strictly for personal, non-commercial purposes, in accordance with these terms and the usage rules of the Apple App Store or Google Play Store.

2. License Restrictions

You agree not to, and will not permit others to:

License, sell, rent, lease, assign, distribute, host, or commercially exploit the App

Modify, make derivative works of, decrypt, reverse engineer, or decompile any part of the App

Remove, alter, or obscure any proprietary notice (including copyright or trademark notices)

Use the App to create competitive software products or services

Bypass or circumvent technological access restrictions or security protections

3. Ownership & Intellectual Property

The App and all copyrights, patents, trademarks, and trade secrets are and shall remain the sole and exclusive property of Menna AI. This EULA grants you a limited operational license, not an ownership right or transfer of intellectual property.

4. Apple App Store Minimum Terms (iOS Users)

If you downloaded the App from the Apple App Store, the following supplemental provisions apply in compliance with Apple's Standard EULA requirements:

Acknowledgment: This EULA is concluded between you and Menna AI only, not with Apple Inc. Menna AI, not Apple, is solely responsible for the App and its content.

Scope of License: The license granted is limited to a non-transferable license to use the App on Apple-branded products running iOS/iPadOS that you own or control as permitted by the Usage Rules set forth in Apple Media Services Terms and Conditions.

Maintenance & Support: Menna AI is solely responsible for providing maintenance and support services. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App.

Warranty: In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you (if applicable). To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the App.

Product Claims: Menna AI, not Apple, is responsible for addressing any claims relating to the App or your possession and use of the App, including product liability claims, failure to conform to legal requirements, and consumer protection claims.

Intellectual Property Rights: In the event of any third-party claim that the App or your possession and use of the App infringes intellectual property rights, Menna AI, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property claim.

Third-Party Beneficiary: You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this EULA, and that upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary.

5. Google Play Terms (Android Users)

If you downloaded the App from Google Play:

This EULA supplements the Google Play Terms of Service.

In the event of a conflict between this EULA and the Google Play Developer Distribution Agreement or Google Play Terms of Service, Google Play's terms shall govern.

6. Medical & Wellness Disclaimer

THE APP IS PROVIDED FOR EDUCATIONAL AND LIFESTYLE TRACKING PURPOSES ONLY. CONVOCAL IS NOT A MEDICAL DEVICE AND DOES NOT DISPENSE CLINICAL DIAGNOSES, PRESCRIPTIONS, OR MEDICAL TREATMENT. ALWAYS CONSULT A QUALIFIED MEDICAL PROFESSIONAL PRIOR TO UNDERTAKING DIETARY ALTERATIONS.

7. Export Control & Legal Compliance

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or designated by the U.S. Government as a 'terrorist supporting' country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

8. Updates & Maintenance

Menna AI may from time to time provide enhancements, bug fixes, patches, and updates. You agree that Menna AI may deploy updates automatically or require updates for continued use of the service.

9. Disclaimer of Warranties

THE APP IS LICENSED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. MENNA AI EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MENNA AI BE LIABLE FOR INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING LOSS OF PROFITS, CORRUPTION OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP.

11. Termination

This EULA remains effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any provision. Upon termination, you must cease all use of the App and delete all copies from your devices.

12. Governing Law & Contact

This EULA is governed by applicable laws excluding conflict-of-law principles.
